(\u201cFox\u201d).\nThe acquisition was notified to the FNE on August 31th, 2018.<\/p>\n\n\n\n<p>The remedies consist on four main commitments made\nby the companies, that shall be enforceable for the term of 7 years since the\nclosing of the deal. These commitments aim to prevent the joint\ncommercialization of Disney\u2019s and Fox\u2019s channels, without distinguish if they have\nsports, factual or child content. In this way, the company will be prevented\nfrom day one to exert the higher negotiating power that will acquire regarding\nall the channels of its property.<\/p>\n\n\n\n<p>This package of remedies responds to the main\nrisk identified by the FNE during the investigation, that is, the increase of\nnegotiating power that would have the merged entity on the operation and\nwholesale of paid television channels.<\/p>\n\n\n\n<p>The remedies are the following:<\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>Prohibition\nof tying and bundling between Disney\u2019s and Fox\u2019s channels.<\/li><li>Prohibition\nof technical bundling or content transfer, from Disney\u2019s to Fox\u2019s channels or\nvice versa, of the most relevant sport\u2019s content offered by the parties.<\/li><li>Two\narbitration instances, to solve controversies regarding: (i) the negotiation of\nnew licensing deals or their renewal, and (ii) as a consequence of substantial\ndeterioration on the commercialization conditions of the live-sport channels.<\/li><li>The\ngroup of A&amp;E channels will be subjected to these commitments if they start\nto be controlled or distributed by Disney, or if their selling is conditioned\nto the purchase of Disney\u2019s channels.<\/li><\/ol>\n\n\n\n<p>According to the FNE, these remedies are\nproportional, sufficient and effective to mitigate the identified risks. At the\nsame time, they are feasible to implement, execute and monitor.<\/p>\n\n\n\n<p>During the investigation of the merger, as it\nis usual in the case when the deal has an international reach, the FNE collaborated\nwith other Competition Agencies.
