The Chilean Competition Authority (FNE) cleared without conditions the acquisition of control of the chocolate company La F\u00eate by Nestl\u00e9 Chile.<\/p>\n

In its analysis, the FNE assess whether the acquisition of La F\u00eate by Nestl\u00e9 Chile would involve competition concerns mainly in the market for the production and commercialization of chocolates.<\/p>\n
<\/p>\n
After analyzing internal documents and statements from the parties and different industry players, the FNE has concluded that Nestl\u00e9 and La F\u00eate are not close competitors in this market, since their products differ in attributes such as price, consumption occasion, distribution, production process and inputs for their elaboration.<\/p>\n

Indeed, while La F\u00eate competes in the premium segment of the market, Nestl\u00e9 competes in the mass segment of the chocolate market. Therefore, it was possible to conclude that, after the transaction, both Nestl\u00e9 and La F\u00eate would not have the ability and incentives to raise the price or to deteriorate other relevant competitive variables , such as quantity, quality or innovation (unilateral effects), as well as to exclude competitors in other related markets (conglomerate effects).<\/p>\n

The resolution and the approval report will be published on the FNE’s website once the public version of these documents has been prepared.<\/p>\n
\u00a0<\/strong><\/p>\n The parties<\/strong><\/p>\n La F\u00eate is a Chilean undertaking engaged primarily in the production and retail marketing of premium chocolate products and marginally in the segment of other confectionery and non-food products.<\/p>\n <\/p>\n Nestl\u00e9 Chile is the local subsidiary of the Swiss-based multinational group, which is involved in the production and marketing of a wide variety of food products mainly for mass consumption. In Chile, it sells baby food, breakfast cereals, coffee, culinary products, dairy products, snacks and confectionery, ice cream, frozen foods, bottled water, pet food and nutritional therapy products mainly through both modern and traditional channels.<\/p>\n \u00a0<\/strong><\/p>\n \u00a0<\/strong><\/p>\n FNE aprob\u00f3 la compra de La F\u00eate por parte de Nestl\u00e9<\/strong><\/p>\n <\/p>\n La Fiscal\u00eda Nacional Econ\u00f3mica (FNE) aprob\u00f3 sin condiciones la adquisici\u00f3n de control de la empresa de chocolates La F\u00eate por parte de Nestl\u00e9 Chile.<\/p>\n En su an\u00e1lisis, la Fiscal\u00eda evalu\u00f3 si la compra de La F\u00eate por parte de Nestl\u00e9 Chile generar\u00eda riesgos a la libre competencia en el mercado de la producci\u00f3n y comercializaci\u00f3n de chocolates, principalmente.<\/p>\n Tras analizar documentos internos y declaraciones de distintos actores de la industria, la FNE concluy\u00f3 que Nestl\u00e9 y La F\u00eate no son competidores cercanos en ese mercado, pues sus productos se diferencian en atributos como su precio, ocasi\u00f3n de consumo, forma de distribuci\u00f3n, proceso productivo e insumos para su elaboraci\u00f3n.<\/p>\n En efecto, La F\u00eate compite en el segmento premium<\/em> y Nestl\u00e9 en el segmento masivo del mercado de chocolates, lo que permiti\u00f3 a la FNE descartar que, luego de la operaci\u00f3n, Nestl\u00e9 o La F\u00eate tendr\u00edan la capacidad y el incentivo de aumentar el precio o deteriorar otras variables competitivas relevantes de sus productos, como la cantidad, calidad o innovaci\u00f3n (riesgos unilaterales), as\u00ed como tampoco de excluir a competidores en otros mercados relacionados (riesgos de conglomerado).<\/p>\n La resoluci\u00f3n y el informe de aprobaci\u00f3n ser\u00e1n publicados en la p\u00e1gina web de la FNE una vez elaborada la versi\u00f3n p\u00fablica de dichos documentos.<\/p>\n <\/p>\n Las partes<\/strong><\/p>\n La F\u00eate es una empresa chilena que participa principalmente en la producci\u00f3n y comercializaci\u00f3n minorista de productos de chocolater\u00eda premium <\/em>y marginalmente en el segmento de otros confites y productos no alimenticios.<\/p>\n Nestl\u00e9 Chile es la filial local del grupo multinacional con sede en Suiza, que participa en en la producci\u00f3n y comercializaci\u00f3n de una gran variedad de productos alimenticios principalmente para el consumo masivo.
