The Chilean Economic Authority (FNE) has approved, in Phase 1, the transaction through which América Móvil will acquire individual control over ClaroVTR, concluding that it would not substantially reduce competition.
This acquisition is immediately related to the transaction that was the subject of Investigation Case FNE F295-2021, through which América Móvil and Liberty Latin America Ltd. jointly established the ClaroVTR association, which was approved subject to various mitigation measures.
In the investigation, which began on August 16, 2024, the FNE assessed the impact that the increase in prerogatives and rights held by América Móvil in ClaroVTR would have on competition in the telecommunications tower and support market, as well as the existing vertical relationships in the international link market.
For the tower and support markets, a structural analysis was conducted, indicating that the concentration thresholds established in the Horizontal Merger Guidelines would not be exceeded, thereby ruling out a substantial reduction in competition at the national level.
This analysis was also carried out at the municipal level, finding that in areas where the thresholds were exceeded, other actors would exert relevant competitive pressure. This led to the conclusion that the transaction would not generate a substantial reduction in competition. Potential vertical effects in this segment and in the international link market were also dismissed.
